The objective of this policy is to further the interests of the Company and to permit the Company to comply with its obligations, including those to its clients and others to whom the Company may have similar obligations, regarding works made for hire. Code of Conduct Ethical Behavior BL Companies strives to comply with all applicable laws and regulations that govern the business and to motivate employees to conduct themselves according to high ethical standards. Because BL is 100% Employee-Owned and employees all share in the success of the Company, it is important that each and every employee take responsibility for his or her own actions. Employees are expected to be honest and forthright in their dealings with clients, vendors, subcontractors, sub consultants, business partners, owners and fellow employees. Former State Employees Many states have restrictions concerning former state employees being employed by and performing work for private employers following their state service. As an example, any former Connecticut State employee may not represent the Company before his or her former agency for a period of one (1) year after leaving the agency. Representation includes but is not limited to sales presentations and contract negotiations. If a Company employee who was previously employed by a state agency appears before such agency, he or she should consult the Legal Department prior to
that appearance. Marketing and Advertising Activities The Company may use marketing and advertising materials to provide information to potential clients, promote our services and recruit new employees. BL is committed to representing its services and offerings fairly, honestly and accurately. Materials shall not contain exaggerated statements of qualifications nor shall employees represent the Company’s services or experience in an inaccurate manner. Communications with External Entities All requests for interviews and/or comments from national or local media should be referred immediately to the Executive Director of Marketing & Business Development or General Counsel. No employee or business partner of the Company is authorized to comment to any media outlet without specific prior approval from the Executive Director of Marketing & Business Development or General Counsel. Necessary Licenses and Authorizations The Company is committed to obtaining and maintaining all required corporate business licenses and required state authorizations. Employees, sub consultants and subcontractors must obtain and maintain all appropriate licensure or certifications required for their job responsibilities or contracts. Employees may be asked to obtain licenses in other states to enhance BL Companies’ market position. Employees should make every effort to support those requests. Reporting Financial Condition and Results of Operations Fairly and Accurately The Company is committed to keeping its books and records in accordance with generally accepted accounting principles, government regulatory requirements and established finance and accounting policies. All employees must cooperate with internal and external auditors during their examination of Company books and records.
